3. Account Registration and Security

To use ImyMe, you must create an account by providing accurate, current, and complete information, including:

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches

You agree to keep your account information accurate and up-to-date. We reserve the right to suspend or terminate accounts with false or misleading information.

4. Service Description

4.1 AI Persona Service

ImyMe provides an AI-powered persona agent that:

  • Learns from your interactions, preferences, and activities

  • Integrates with your device sensors and third-party services (with your consent)

To provide the Service, ImyMe collects and processes:

5. Subscription and Payment Terms

5.2 Billing

  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • Payment is due at the start of each billing cycle

6. Acceptable Use Policy

You may NOT:

  • Transmit harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to impersonate others or misrepresent your affiliation
  • Use automated systems (bots, scrapers) without our written permission
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to collect information about other users
  • Transmit spam, chain letters, or other unsolicited communications
  • Upload viruses, malware, or other malicious code
  • Use the Service for any illegal or unauthorized purpose

6.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

  • Permanent account termination
  • Legal action if warranted
  • Reporting to law enforcement authorities

7. User Content and Data

7.1 Your Content

You retain ownership of all content you provide to ImyMe, including:

  • Notes and knowledge base items
  • Calendar events and other user-generated content

7.2 License to Use Your Content

By providing content to ImyMe, you grant us a limited, non-exclusive, royalty-free, worldwide license to:

  • Store and transmit your content through our systems
  • Use your content to train and improve our AI models (with appropriate anonymization)

This license terminates when you delete your content or close your account, except for:

  • Backup copies retained for up to 30 days
  • Anonymized data used for research and improvement

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use ImyMe for personal, non-commercial purposes, subject to these Terms.

8.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Sell, rent, lease, or sublicense the Service
  • Remove or alter any proprietary notices
  • Use our trademarks or branding without written permission

10. Disclaimers and Limitations of Liability

ImyMe IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, reliability, or availability
  • Warranties that the Service will be uninterrupted or error-free

10.2 AI Content Disclaimer

WE DO NOT WARRANT THAT:

  • AI-generated responses will be accurate, appropriate, or reliable
  • The Service will meet your specific needs or expectations
  • All content will be free from errors, bugs, or vulnerabilities

10.3 No Professional Advice

ImyMe does not provide professional advice (medical, legal, financial, etc.). AI-generated content should not be relied upon as a substitute for professional consultation.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • Our total liability to you for all claims will not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater

10.5 Jurisdictional Limitations

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Dispute Resolution

13.2 Informal Resolution

Before filing a claim, you agree to contact us at info@microcloudsystems.com to attempt informal resolution. We will attempt to resolve the dispute within 60 days.

13.3 Arbitration Agreement

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association’s rules, except:

  • Small claims court actions (under applicable limits)
  • Claims for injunctive relief
  • Claims exempt from arbitration by law

13.4 Class Action Waiver

You agree to resolve disputes on an individual basis. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

13.5 Jurisdiction and Venue

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in Virginia, United States.

14. Export Compliance

You represent that you are not located in a country subject to U.S. government embargo or designated as a “terrorist-supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to reflect the parties’ intent to the greatest extent permitted by law.

16. Changes to Terms

16.1 Notification

We may update these Terms from time to time. We will notify you of material changes by:

  • In-app notification
  • Posting a notice on our website or app

16.2 Effective Date

Changes become effective:

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MicroCloudSystemsLLC regarding ImyMe and supersede all prior agreements and understandings.

18. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor entity.

19. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
